These Terms govern the rights, obligations, and settlement conditions between SKIPIKS ("Company") and creators (editorial partners, "Partner") who supply lookbook images and receive revenue share on the AI fashion-curation platform.
1. Partners apply via the Partner Console (/catalog); the agreement is formed upon the Company's review and approval.
2. Looks uploaded before approval are not exposed in the feed (inactive) and appear only upon the Company's approval.
1. Supplied looks pass through the common pipeline (quality review, product matching).
2. The Company may suspend, reject, or delete looks violating quality or policy.
1. When valid clicks on a partner's look are billed as seller ad spend, a set percentage (base share rate; a partner-specific rate takes precedence if set) accrues to the Partner.
2. Earnings flow pending → confirmed → paid; payout may be requested once confirmed earnings reach the minimum threshold.
3. If seller billing is voided (fraud, refund), the corresponding earnings are voided.
1. When confirmed earnings meet the minimum, the Partner requests payout; after the Company's approval, payment is made to the registered account.
2. Tax handling (e.g., withholding) follows applicable law.
3. The Partner is responsible for keeping payout/tax information accurate.
1. The Partner warrants lawful rights to the supplied looks and that they do not infringe third-party copyright, portrait, or trademark rights.
2. The Partner grants the Company a license to use, reproduce, transmit, and modify (resize, watermark, etc.) the looks for in-platform exposure, promotion, and product matching.
3. The Partner bears responsibility for infringement disputes.
1. Partners may withdraw anytime; unpaid confirmed earnings are paid per the settlement process.
2. The Company may suspend/terminate for breach; amounts accrued through fraud will not be paid.
1. The Company is not liable for interruptions due to force majeure.
2. These Terms are governed by the laws of the Republic of Korea.
